## How do you compare two versions of a contract?

To compare two versions of a contract, give Maito both files. It reads them in full, lists every change by section, and puts the ones that matter first, such as a lower liability cap or new governing law. Minor edits are grouped below, so you see the real differences quickly.

**Claire** (4:12 PM):

what did Globex change in their latest redline? v3 is ours, v4 is theirs.

**Maito** (4:14 PM):

• **12.1 Liability cap:** cut from 12 months of fees ($120,000) to 6 months ($60,000). The data breach carve-out is deleted.  
• **15 Governing law:** moved from New York to Delaware, courts in Wilmington.

**Minor:** payment net 30 to net 45 (5.1), "days" to "business days" (2.3), a new notice address, and two typo fixes.

**Catch:** 12.1 and 15 do not appear as tracked changes in their file. Hannah's cover email calls v4 "clarifications only." I found them by comparing the text.

## What it won't do

It can miss a change in scanned pages it can't read well, and it doesn't advise whether to accept a change. Check the originals for anything important.

## Questions

### Does it need tracked changes?

No. It compares the two documents themselves, so it works when the other side sends a clean version with no markup.

### Does it catch changes outside the numbered clauses?

It reads the whole file, including exhibits and notice details, and lists changes wherever they sit.

### Can it explain the effect of a change?

Yes, in plain words, including how one change affects another clause. Your lawyer still judges whether to accept it.
