How do you flag risky clauses in a contract?
To flag risky clauses in a contract, give Maito the file and name your standard terms in Drive. It reads the agreement, compares liability, payment, renewal and governing law with your standard, and lists each difference with its section number. Legal gets a short list to decide on instead of a full read.
How it's done today
Every contract waits in legal's queue.
What Maito does
- Read the contract
- Compare with your standard terms
- Flag risky or unusual clauses
Example
@Maito review the attached Acme MSA against our standard customer terms. Sales wants to sign by Friday.
Read acme-msa-v3.pdf (14 pages) against our standard terms in Drive. 5 flags for you to decide: • Liability, 9.1: uncapped. Ours caps at 12 months of fees. • Payment, 4.2: net 90. Ours is net 30. • Renewal, 12.3: auto-renews for 3 years. Ours is 1. • Exhibit B: a most-favored-customer price clause. It sits in the pricing exhibit, so it's easy to miss. • Governing law, 15: New York. Ours is Delaware. Everything else matches. This is a first pass to help you read faster, not a legal opinion. Want fallback wording for 9.1 and 4.2?
@Maito yes, just those two.
Attached: acme-fallbacks.docx, with our standard wording for 9.1 and 4.2. Nothing goes to Acme until you've read it.

What it won't do
It only knows your standard terms if you point it to them, and it doesn't judge whether a clause is acceptable. Every decision, and anything sent to the other side, stays with your legal team.
Questions
Contracts in the file tools you connect, such as Google Drive, Box, Dropbox, Notion or Microsoft 365, or a file attached in the Slack thread or an email. It compares them with the standard terms you point it to.
No. It gives a first pass that shows where a contract differs from your standard. A lawyer on your team decides what to accept, change or reject.
Yes, if you ask. It can draft fallback wording for a clause from your approved language, and your legal team reviews it before anything goes to the other side.
